Governing Law and Dispute Resolution (Governing Law and Jurisdiction)

Default Governing Law and Jurisdiction Except as otherwise explicitly provided herein, these Terms of Use, their formation, construction, and performance shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR). Any dispute, controversy, claim, or legal proceeding arising out of or relating to these Terms, the Site, or the Company Content shall be subject to the exclusive jurisdiction of the courts of Hong Kong.


Provisions for EU and UK Residents If you reside in the European Union (EU), the European Economic Area (EEA), or the United Kingdom (UK) and access the Site as a consumer:

The statutory mandatory consumer protection laws of your country of residence will continue to apply to you and cannot be waived by contract.

You may bring legal proceedings relevant to these Terms either in the courts of Hong Kong or in the competent courts of your country of residence.


Provisions for United States Residents (Arbitration & Class Action Waiver) If you are a resident of the United States of America (US), its states, or territories:


Governing Law: These Terms shall be governed by the US Federal Arbitration Act and the laws of Hong Kong, without regard to principles of conflicts of law.


Binding Arbitration: You and lmc. agree that any dispute or claim arising out of or relating to these Terms or the use of the Site shall be resolved through binding individual arbitration, rather than in a court of law before a judge or jury. The arbitration shall be administered by the American Arbitration Association (AAA) or JAMS in accordance with their commercial arbitration rules.


Class Action Waiver: YOU AND lmc. AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a class or representative proceeding.
